FOUNDING ATTORNEY

Marcella Rabinovich is the founding attorney of The Law Offices of Marcella G. Rabinovich, Esq. PLLC, a women-led boutique practice built on precision, discipline, and deep industry knowledge. A graduate of Hunter College and Penn State Law, Marcella entered the alternative finance world over a decade ago—long before it became the complex, rapidly evolving ecosystem it is today.

Over the past decade, Marcella has represented funders across the full spectrum of the MCA and alternative finance industry—from emerging boutique funders to major institutional players. Her work spans every layer of the funding lifecycle: drafting and negotiating merchant agreements, structuring ISO relationships, overseeing litigation strategy, and advising on regulatory compliance in the jurisdictions most frequently tested by creditors, particularly New York. Marcella has become a trusted legal voice for funders seeking to strengthen the enforceability of their contracts and ensure they withstand scrutiny in New York courts, where much of the industry’s most consequential jurisprudence is shaped.

In addition to her contract and litigation practice, Marcella has been retained by numerous companies to restructure and rebuild their entire collections and recovery departments. She has audited portfolios ranging from small books to multi-million-dollar ledgers, identifying recovery gaps, optimizing internal processes, and implementing systems that streamline enforcement across all phases of MCA recovery—including UCC strategy, arbitration, domestication, post-judgment enforcement, and asset-based discovery.

Respected for her litigation instincts, her command of the MCA landscape, and her ability to translate complex financial operations into enforceable legal frameworks, Marcella has built a reputation as a strategic partner to funders seeking durability, compliance, and results.

Ariel Elgadeh brings a rare, ground-level understanding of judgment enforcement to this practice—knowledge shaped from the inside of the New York City Marshal’s Office, where he began his legal career. During his tenure with the Marshal, Ariel gained first-hand experience in enforcement procedures, executions, levies, and the practical mechanics of how judgments are actually enforced, giving him a deep and nuanced understanding of the legal landscape that governs post-judgment recovery.

After two years in the Marshal’s Office, Ariel met Marcella G. Rabinovich, Esq., and shortly thereafter joined the company for which she served as counsel. Recognizing his diligence, precision, and command of judgment enforcement, Marcella brought Ariel onto her team, where the two quickly became instrumental in building and scaling the firm’s enforcement operations.

Together, at their first major funder, Marcella and Ariel designed and implemented an end-to-end collections infrastructure, including the development of internal systems and CRM workflows governing underwriting, funding, collections, and enforcement. Their collaboration helped transform the funder’s legal and recovery operations, contributing to exponential growth over the following four years.

Today, Ariel focuses primarily on litigation and post-default enforcement. He is deeply involved in the preparation and prosecution of litigation matters, including debtor examinations, preliminary conferences, and summary judgment motions in lieu of complaint. He is known for his meticulous preparation, strategic thinking, and strong command of New York practice, with particular expertise in the CPLR and enforcement-driven litigation.

Ariel’s background—spanning marshal enforcement, high-volume collections systems, and litigation—positions him as a critical asset in building scalable, enforcement-focused legal operations. He and Marcella continue to seek their next opportunity to build and optimize a funder’s legal and recovery platform from the ground up.

Jacklyne S. Rabinovich is a core member of the firm’s enforcement and recovery team, specializing in judgment domestication and domestic post-judgment actions across multiple jurisdictions. Her work is centered on converting out-of-state and foreign judgments into enforceable domestic instruments and executing strategic recovery actions once jurisdictional barriers are removed.

She joined forces with Marcella G. Rabinovich, Esq. after working alongside her and Ariel at a prior company, bringing with her a rare blend of underwriting discipline and enforcement strategy. Jacklyne began her career in underwriting, where she quickly distinguished herself through both volume and precision. Within her first three months, she was consistently approving 40–50 files per day, demonstrating a calculated risk profile grounded in a sophisticated understanding of factor rates, specified percentages, and contract structure.

Her expertise expanded into one of the industry’s more complex and less commonly understood products: Cash Saving Programs (CSPs). Jacklyne developed a comprehensive command of CSP mechanics, including proper disbursement structures, reconciliation protocols, pre-funding review, and the identification and correction of underwriting errors. She also played a pivotal role in training underwriting teams to analyze bank statements with greater accuracy and depth.

As her practice evolved, Jacklyne transitioned from underwriting into judgment enforcement with a particular focus on domestication strategy and downstream recovery. She routinely handles the procedural and strategic components of domesticating judgments, including jurisdictional analysis, statutory compliance, and coordination of follow-on enforcement actions once domestication is complete. Her work ensures that judgments are not merely recognized, but positioned for effective execution.

Jacklyne has deep experience conducting asset searches, analyzing trust structures, reviewing property records and deeds, and interpreting bankruptcy filings in support of domestic enforcement actions. She brings a forensic mindset to identifying how assets are held, transferred, or shielded — and how to lawfully reach them once domestic authority is established.

In addition, she has cultivated independent professional relationships with garnishees, financial institutions, and payment processors, facilitating the efficient liening of receivables, service of domestic process, and execution of post-judgment remedies.

While highly versatile, Jacklyne’s defining strength lies in her ability to bridge domestication, domestic enforcement, and asset recovery into a single cohesive strategy. She is routinely entrusted with complex, high-exposure matters where jurisdictional precision, procedural accuracy, and enforcement leverage are paramount.
